Seriously, I would say the dick joke AND the disembodied head--and the comment Aunt May makes that she thinks Peter is secretly keeping porn, probably the joke Spidey makes about where he came from (although clever), etc. does, I think put it into a different rating category. It's more of an accumulation of things rather than just one thing. And yeah, if the comic has actually been rated "T+" which is basically the equivalent of a PG-13, it probably wouldn't be an issue.

A similar joke about black men's packages nearly saw me fired when a worker took offence. Yes, they were white too.
